1. Definitions

2. General Provisions

2.1. These Terms define the rules for using the Exercio Platform, the types and scope of Services provided electronically, the terms for entering into and terminating agreements, the complaint procedure, and the rights and obligations of Users.

2.2. The Service Provider provides Services in accordance with these Terms and applicable law, in particular:

  • The Polish Act of July 18, 2002 on the provision of electronic services
  • The Polish Act of May 30, 2014 on consumer rights
  • Regulation (EU) 2022/2065 (Digital Services Act)

2.3. Using the Platform is voluntary; however, some functionalities require creating an Account.

2.4. These Terms are available on the Platform in a way that allows downloading, playback, and recording.


3. Platform Nature — Marketplace

3.1. Exercio as a Technology Platform

Exercio is a technology platform (marketplace) that enables Clients to find Instructors and Companies and make Bookings. Exercio does not provide Instructor Services — it does not organize training, conduct classes, or provide fitness, dance, or sports services.

3.2.1. Exercio enters into an agreement with the User for the provision of electronic services (use of the Platform).

3.2.2. The agreement between the Client and the Instructor/Company regarding Instructor Services (training, classes) is entered into directly between the Client and the Instructor/Company. Exercio is not a party to that agreement.

3.2.3. Exercio only provides technical tools for searching, communication, and booking.

3.2.4. Exercio is not an employer, principal, or representative of the Instructors or Companies using the Platform.

3.3. No Liability for Instructor Services

Exercio is not liable for:

  • The quality, safety, or conduct of Instructor Services
  • Personal or property damage occurring during training sessions/classes
  • Inconsistency of Instructor Services with the profile description
  • The behavior of the Instructor or Company towards the Client
  • Any events taking place outside the Platform

4. Platform Usage Rules

4.1. The User undertakes to use the Platform in accordance with its purpose, the law, good practices, and the provisions of these Terms.

4.2. It is prohibited to:

  • Provide false data
  • Impersonate other persons
  • Publish illegal content
  • Circumvent Platform security
  • Engage in hacking, phishing, spam
  • Use the Platform for illegal purposes

4.3. A person who provides false data or impersonates another person bears sole legal responsibility for such actions, including criminal and civil liability. Exercio does not verify the identity of persons creating an Account and is not liable for the consequences of impersonation.

4.4. Detailed rules regarding prohibited content can be found in the Acceptable Use Policy.


5. Registration and Account

5.1. Account registration is voluntary and free of charge.

5.2. To create an Account, you must:

  • Provide an email address and set a password
  • Verify your email address
  • Choose a role (Client, Instructor, or Enterprise)

5.3. A User may only have one Account assigned to one email address. Creating multiple Accounts to circumvent restrictions imposed on the User is prohibited.

5.4. An Account may only be created by a person with full legal capacity. Minors require the consent of a parent or legal guardian.

5.5. The User is obliged to secure access to their Account and not share it with third parties.

5.6. The User may delete their Account at any time via the Panel.

5.7. The Service Provider may suspend or delete an Account in the event of a violation of these Terms.


6. User Roles

6.1. Client

The Client can:

  • Browse Instructor and Company profiles
  • Search by specialization, location, ratings
  • Add Instructors to favorites
  • Make Bookings
  • Leave reviews
  • Use the internal messaging system

6.2. Instructor

The Instructor can:

  • Create and manage a public profile
  • Set availability and prices
  • Accept and manage Bookings
  • Communicate with Clients
  • Be assigned to Enterprise Companies

6.3. Enterprise (Company)

The Company can:

  • Create and manage a company profile
  • Manage instructors assigned to the Company
  • Purchase a paid subscription
  • Publish news

6.4. Guest

The Guest can:

  • Browse public profiles
  • Make a Guest booking (without creating an Account)

7. Instructor and Company Profiles

7.1. The Instructor and Company bear sole responsibility for the content of their profile, including the truthfulness, completeness, and timeliness of the information provided.

7.2. Exercio does not conduct formal verification of:

  • The truthfulness of data provided in the profile
  • The Instructor's qualifications or certificates
  • Authorization to practice the profession
  • The legality of the conducted business

7.3. Users should exercise caution and independently verify the credibility of the Instructor/Company before using their services.


8. Bookings

8.1. A Booking made through the Platform constitutes a binding commitment between the Client and the Instructor/Company.

8.2. Exercio enables the technical making of Bookings but is not a party to the agreement between the Client and the Instructor/Company.

8.3. The Instructor/Company has the right to refuse a Booking for valid reasons, in particular due to lack of availability, health contraindications, violation of these Terms by the Client, or other justified circumstances.

8.4. The terms of cancellation are set by the Instructor/Company in their profile. Exercio does not interfere with these terms.

8.5. In the case of a Guest booking, the Client receives a cancellation link without needing to log in.


9. Reviews

9.1. Reviews may only be left by Clients who have made a Booking and attended a session.

9.2. Reviews are public and visible to all Users.

9.3. Exercio reserves the right to remove reviews that violate these Terms or the law.

9.4. The Instructor/Company has the right to report a review as violating these Terms (procedure described in section 13).


10. Payments and Subscriptions

10.1. Payments for Instructor Services

10.1.1. Payments for Instructor Services (training sessions) are settled directly between the Client and the Instructor/Company, according to the rules set by the Instructor/Company.

10.1.2. Exercio does not mediate in payments for training sessions and is not liable for settlements between the Client and the Instructor/Company.

10.2. Enterprise Subscriptions

10.2.1. An Enterprise Account is paid — it requires purchasing a subscription.

10.2.2. Subscription payments are processed by Stripe. Exercio does not store full payment card data.

10.2.3. The subscription renews automatically unless cancelled before the end of the billing period.

11. Refunds and Complaints

11.1. Complaints Regarding Instructor Services

Complaints regarding Instructor Services (e.g., dissatisfaction with training, session cancellation, rescheduling) should be directed directly to the Instructor or Company that provided the service.

Exercio does not handle complaints concerning:

  • The quality of the training/class conducted
  • Inconsistency of the service with the profile description
  • Session cancellation by the Instructor
  • Refunds for sessions

11.2. Complaints Regarding Platform Operation

Complaints regarding the technical operation of the Platform (errors, non-functioning features) should be sent to: support@exercio.app.

The complaint should contain data enabling the identification of the User and a description of the reported issue.

The Service Provider handles complaints within 14 days.

11.3. Refunds

Exercio does not issue refunds for Instructor Services, as it is not a party to the agreement between the Client and the Instructor/Company.


12. Liability

12.1. Platform Operation

Exercio exercises due diligence to ensure the proper and secure operation of the Platform, but does not guarantee uninterrupted availability due to planned technical maintenance, failures, or force majeure events.

12.2. Limitation of Exercio's Liability

Exercio is not liable for:

  1. Instructor Services — quality, safety, conduct, and consequences of training sessions/classes
  2. Personal injury — injuries, accidents, injuries sustained during sessions
  3. Property damage — property damage, theft during sessions
  4. Instructor verification — truthfulness of data, qualifications, authorizations
  5. Content published by Users — profiles, reviews, comments
  6. Financial settlements — between the Client and the Instructor/Company
  7. Damages resulting from force majeure — failures, technical interruptions, cyberattacks, failures of third-party services

12.3. Liability of the Instructor/Company

The Instructor/Company bears full liability for:

  • Their services provided to Clients
  • Safety of training sessions/classes
  • Compliance with the law (including sanitary, health and safety, insurance regulations)
  • Settlements with Clients
  • Processing of Clients' personal data

12.4. Liability of the Client

The Client is liable for:

  • The truthfulness of the data provided
  • The security of their Account
  • Compliance with the Platform usage rules
  • Their own safety during training sessions

13. Content Moderation and DSA

13.1. Users may report illegal content or content violating these Terms to: support@exercio.app.

13.2. The report should include:

  • An explanation of why the content is illegal/violates these Terms
  • The exact location of the content (URL)
  • The name of the reporting person
  • A statement of good faith

13.3. The Service Provider handles reports without undue delay, no later than within 14 days.

13.4. If a violation is found, the Service Provider may:

  • Remove the content
  • Restrict the visibility of the content
  • Temporarily hide the content pending verification
  • Suspend or delete the User's Account

13.5. An appeal against the Service Provider's decision may be filed within 14 days.


14. Intellectual Property Rights

14.1. All content posted on the Platform by the Service Provider (name, logo, code, documents) is protected by copyright.

14.2. A User publishing content on the Platform (photos, descriptions, reviews) grants the Service Provider a non-exclusive license to use such content solely for the purpose of providing, developing, and promoting the Exercio Platform.

14.3. The User declares that the content they publish does not infringe the rights of third parties.


15. Personal Data and Cookies

15.1. The controller of Users' personal data is the Service Provider.

15.2. Detailed information on personal data processing can be found in the Privacy Policy.

15.3. Information about cookies can be found in the Cookie Policy.


16. Final Provisions

16.1. These Terms are available in Polish and English. In case of discrepancies, the Polish version prevails.

16.2. The governing law is Polish law.

16.3. The Service Provider reserves the right to change these Terms. Users will be informed of changes via a notice on the Platform and, in the case of material changes, by email.

16.4. Changes to these Terms take effect 14 days after announcement.

16.5. Changes to these Terms do not affect the rights and obligations arising from agreements concluded before the changes take effect.

16.6. Users with an Account who do not accept the changes may delete their Account before the changes take effect.

16.7. Matters not regulated in these Terms are governed by Polish law.


17. Force Majeure

17.1. Exercio shall not be liable for non-performance or improper performance of obligations under these Terms caused by force majeure events, in particular: natural disasters, wars, riots, strikes, IT infrastructure failures, cyberattacks, decisions of state authorities, or other events beyond the Service Provider's control.

17.2. In the event of force majeure, the Service Provider will make every effort to minimize the effects of such an event and restore normal Platform operation as soon as reasonably possible.
